Does anyone how i can create a x64 version of WinPE2k5 or where to get one? I searched this forum & MS site but can't find any answer....

If you use the Windows Server 2003 SP1 version of the OPK and Windows Server 2003 SP1 (X64) as your source, this will "just work".
