Software Ownership and Usage Question. Need serious response. :)

Ok,
I have a new website in development that requires SQL Database software.
I had to buy some new servers for the site and need to install Windows Server and SQL on them.

My developer has all of this software, on their original CD's as well as a paper showing his ownership.

Here is my question:
I know that developers get copies of software from Microsoft to encourage better training and understanding of their products for added support for them etc. My developer apparantly has just about everything Microsoft makes.

He is allowing me to use this software on my new servers at no cost to myself and has signed an agreement stating this specifically.

Is this legal?
Can the software be used for a commercial site?
What if my programmer changes his mind and then tries to blackmail me or something? (He seems like he could, kind of crazy) Even though I have an agreement in writing, is this possible?

I'm really nervous about software, so many laws and restrictions and I simply can't afford the $80,000 to buy the SQL licenses directly from Microsoft. Maybe if I had VC money but I don't.

Any and all help would be VERY appreciated.

Sounds like MSDN software to me. I dont think that you are technically allowed to use this on a production server, could be wrong though.
